These Terms & Conditions (“Terms”) govern your access to and use of ironwoodsites.com (the “Site”) and the web design, development, and maintenance services (the “Services”) offered by Ironwood Sites, operated by Brackwell9 LLC (“we,” “us,” or “our”). By using the Site or engaging our Services, you agree to these Terms. If you do not agree, please do not use the Site or Services.
Our services
We design, build, host, and maintain websites and related digital services for small businesses. Service descriptions and features shown on the Site are provided for general information and may change. Any specific project, scope, timeline, and price will be confirmed in a separate written quote, proposal, or agreement between you and us, which will control if it conflicts with these Terms.
Quotes and payments
All projects are individually quoted; quotes are fixed for the scope agreed in writing, and changes in scope are agreed before any additional fees apply. Fees for Services, including one-time build fees and recurring care-plan fees, are described in your project agreement. Recurring fees are billed in advance on a monthly basis unless otherwise agreed. Unless your agreement states otherwise, fees are non-refundable once work has begun, and we may suspend or pause Services for accounts with overdue balances.
Your responsibilities
When you use the Site or work with us, you agree that you will:
- provide accurate information and any content or materials needed for your project;
- confirm you own or have the rights to any text, images, logos, or other materials you provide to us;
- use the Site and Services lawfully and not attempt to disrupt, damage, or gain unauthorized access to the Site or any related systems; and
- comply with all applicable laws in connection with your website and business.
Intellectual property
The Site and its content, including text, design, graphics, and logos, are owned by us or our licensors and are protected by intellectual property laws. You may not copy, reproduce, or reuse our Site content without permission. For client projects, ownership of final deliverables transfers to you as described in your project agreement, typically upon full payment. We may retain rights to underlying tools, code libraries, and frameworks we reuse across projects, and we may display completed work in our portfolio unless you ask us not to.
Third-party services
Our Site and the websites we build may rely on third-party tools and services (for example, hosting, payment processing, analytics, fonts, and embeds). Your use of those services may be subject to their own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third parties.
Disclaimer of warranties
The Site and Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site or Services will be uninterrupted, error-free, or completely secure.
Limitation of liability
To the fullest extent permitted by law, Ironwood Sites and Brackwell9 LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or business, arising out of or related to your use of the Site or Services. Our total liability for any claim relating to the Services will not exceed the amount you paid us for the Services giving rise to the claim during the three (3) months before the claim arose.
Indemnification
You agree to indemnify and hold harmless Ironwood Sites and Brackwell9 LLC from any claims, damages, or expenses arising out of content or materials you provide, your use of the Site or Services, or your violation of these Terms or applicable law.
Termination
You may stop using the Site at any time. We may suspend or end access to the Site or Services if you violate these Terms or your project agreement. Termination of any ongoing Services will be handled as described in your project agreement.
Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute relating to the Site or Services will be subject to the exclusive jurisdiction of the state and federal courts located in Orange County, California.
Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Site or Services after an update means you accept the revised Terms.
